Corporate Governance Unit Establishment and Operation
The Company's Finance Department is responsible for corporate governance matters, supervised by the Chief Financial Officer, who serves as the Company's corporate governance officer and possesses the qualifications required by the competent authority.
The scope of corporate governance matters and the authority of corporate governance personnel include the following:
- Handle matters related to Board of Directors and shareholders' meetings in accordance with the law.
- Prepare minutes of Board of Directors and shareholders' meetings.
- Assist directors and supervisors with onboarding and continuing education.
- Provide directors and supervisors with information needed for business execution.
- Assist directors and supervisors in compliance with laws and regulations.
- Report to the Board on the review of whether independent directors meet the qualification requirements during nomination, election, and tenure.
- Handle matters related to changes in directors.
- Other matters stipulated by the company's articles of incorporation or contracts.
Year 114 Business Execution
- In 2025, a total of 11 Audit Committee meetings and 11 Board meetings were held, along with the Annual Shareholders' Meeting on June 19, 2025 and the Extraordinary Shareholders' Meeting on November 12, 2025: handled agenda planning, provided meeting materials, and completed relevant minutes.
- Processed 3 company registration changes in 2025.
- Provided directors with continuing education information and updates on the latest regulatory amendments.
- Organized the institutional investors' briefing on December 17, 2025 and handled investor inquiries.
- Reported to the Board on the review of whether independent directors' qualifications comply with relevant laws and regulations during their tenure.
